Terms of Service
ComputeNexa is in a closed beta. These documents apply to the beta and will be updated before general availability; we will tell you by email before any change that affects you takes effect.
These terms are an agreement between you and ComputeNexa ("ComputeNexa", "we", "us") for your use of the ComputeNexa website, dashboard, API and the GPU machines you rent through them (together, the "Service"). By creating an account or using the Service you agree to these terms, to the Acceptable Use Policy, and you acknowledge the Privacy Policy.
1. The Service
ComputeNexa lets you rent GPU machines by the minute, reach them over SSH or JupyterLab, and connect your own accounts with data services such as Kaggle and Hugging Face. Machines run in third-party data centres operated by our infrastructure providers; ComputeNexa provides the account, access, software images and billing.
Beta. The Service is in a closed beta. Features, prices, available GPUs and limits can change, and the Service may be interrupted or unavailable at times. There is no service-level agreement during the beta.
2. Your account
- You must be at least 18 years old and able to enter into a binding agreement.
- During the beta, access is by invitation. Keep your sign-in details and SSH private keys secure; you are responsible for activity under your account.
- Give us an email address you check: we use it for receipts, notices about your machines and changes to these terms.
- One person per account. Don't share accounts or resell access to the Service.
3. Credits, billing and refunds
- Prepaid credits. You buy credits in US dollars by card through our payment processor, Stripe. We don't see or store your card number.
- Launching charges the full duration you choose at the hourly price shown when you launch. That price is locked for the instance, including extensions.
- Your clock starts when the machine is ready (when SSH is available), not when you click Launch.
- Stopping early refunds the unused minutes to your credit balance. If a machine can't be started, the full charge is refunded to your balance.
- Machines stop automatically when their time runs out. You can extend while a machine is running, if you have enough credit.
- Beta credit we give you for free has no cash value, can't be transferred and may expire when the beta ends.
- Credits are not redeemable for cash, except where the law requires it. If you close your account, contact us about any purchased credit you haven't used and we'll handle it fairly.
- Prices shown don't include taxes we may be required to charge in your location.
- If a payment is disputed or reversed, we may suspend the account until it's resolved.
4. Your machines and your data
- Each machine is yours alone while it runs. It is not shared with other customers.
- The machine's disk is deleted when the machine stops, whether you stop it, its time runs out, or it is stopped under these terms. Save anything you want to keep (download it, or push it to your own storage) before then. We can't recover deleted data.
- You keep all rights to the code, data and models you put on your machines ("Your Content"). You are responsible for Your Content and for having the right to use it. We don't access it except to run the Service, to keep it secure, or when required by law.
- If you save Kaggle or Hugging Face tokens, we store them encrypted and copy them onto each machine you launch so the tools work. Anyone with root access to that machine can read them; remove them in the dashboard and on the service that issued them when you no longer need them.
5. Acceptable use
You must follow the Acceptable Use Policy. It covers, among other things, illegal content, attacks on other systems, crypto mining and sanctions.
6. Suspension and ending
- You can stop using the Service at any time and ask us to close your account.
- We may suspend or close your account, and stop your machines, if you break these terms or the Acceptable Use Policy, if your use puts the Service, other customers or our providers at risk, if we must by law, or if a payment is reversed. Where reasonable we will tell you first. When we stop a machine, unused minutes are refunded to your balance unless the stop was caused by a serious breach.
- We may end the beta or the Service with reasonable notice by email.
7. Third-party services
The Service relies on third parties, including infrastructure providers for GPU machines, Stripe for payments, Clerk for sign-in, and data services you connect (such as Kaggle and Hugging Face). Your use of those services is also subject to their own terms. We aren't responsible for services we don't control.
8. Disclaimers
The Service is provided "as is" and "as available", especially during the beta. To the extent the law allows, we disclaim all warranties, including fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. GPUs can be unavailable, machines can fail, and jobs can be interrupted.
9. Limitation of liability
To the extent the law allows, ComputeNexa is not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the three months before the event giving rise to the claim. Nothing in these terms limits liability that can't be limited by law.
10. Indemnity
You will defend and indemnify ComputeNexa against claims, losses and costs arising from Your Content or from your breach of these terms or the Acceptable Use Policy.
11. Changes to these terms
We may update these terms. We'll email you before a change that affects your rights takes effect. If you keep using the Service after that, the new terms apply; if you don't agree, stop using the Service and ask us to close your account.
12. Governing law and contact
The governing law and the place for resolving disputes will be set out here when ComputeNexa's legal entity is finalised. Questions about these terms: support@computenexa.com.
